TORONTO–(BUSINESS WIRE)–Bluma Wellness Inc. (the “Company”) (CSE: BWEL.U) announced that it has entered into shares for debt agreements with four arm’s-length consultants for advisory services rendered to the Company (collectively, the “Shares for Debt Agreements”). Pursuant to the terms and subject to the conditions of the Shares for Debt Agreements, the Company will issue an aggregate of 850,000 common shares in the capital of the Company (each a “Common Share”) to the four consultants at a deemed price of US$1.00 per Common Share, in satisfaction of outstanding consulting fees in the aggregate amount of US$850,000 owing by the Company to the consultants. The Common Shares will be subject to a statutory hold period which will expire four months and one day from the date of issuance in accordance with applicable securities laws.
Grant of Restricted Share Units
The Company also announced that it has granted 200,000 Restricted Share Units (“RSUs”) of the Company to Alex Spiro in connection with his appointment to the board of directors of the Company. The RSUs were granted pursuant to the terms and subject to the conditions of the Company’s RSU Plan, which was approved by the shareholders of the Company on April 9, 2020. One third of the aggregate RSUs will vest on each of the first, second and third anniversaries of the grant date.
