Denver, Colorado-based cannabis firm Schwazze, formerly known as Medicine Man Technologies, today announced plans to acquire 14 new locations throughout the Centennial state.

The cash-and-stock deal, which is expected to close in the third quarter of 2020, is valued at approximately $118 million and includes 13 front-range dispensaries as well as one cultivation site owned by the Starbuds Group.

The purchase will add approximately $50 million in annual revenue to Schwazze’s business, according to the firm.

In a press release, Schwazze chairman and CEO Justin Dye described Star Buds as a “premier brand” and credited the company’s owners with developing “respected, innovative, and trusted retail operations.”

“The addition of Star Buds builds on our customer-centric focus and will significantly expand our retail operations footprint while also increasing return to shareholders,” Dye said via the release.

For his part, Star Buds co-founder and CEO Brian Ruden, who also serves on Schwazze’s board of directors, said the sale to Schwazze “provides exciting opportunities for our employees, customers and the industry.”

The acquisition is the latest in a string of deals that began around this time last year, when Colorado Governor Jared Polis signed a bill permitting publicly traded companies, private equity firms and out-of-state investors to own Colorado cannabis licenses into law.

Schwazze’s ambitious vertical-integration rollup strategy began one week after Polis signed the bill into law. On June 5, 2019, the company announced its first two cannabis acquisitions: Los Sueños, the largest outdoor cannabis farm in North America, and dispensary chain Mesa Organics.

Days later, the company said it would acquire 100% of the assets of Colombia’s Green Equity S.A.S., which holds international import and export licenses and IP for cultivation, manufacturing, extraction and R&D, and has a 271-acre farm located outside Bogota.

In addition to the transaction with Starbuds Group ($118 million) and Mesa Organics ($2.6 million), Schwazze has negotiated several other cash-and-stock dispensary group acquisitions, including deals for Colorado Harvest ($12.5 million), Roots RX ($15 million) and Strawberry ($31 million).

The Strawberry Fields transaction was terminated on in April, however.

Outside of dispensaries, Schwazze has also announced plans to acquire infused products companies Medically Correct and Canyon LLC ($5.13 million), as well as Dabble Extracts ($3.75 million).

Once all of its purchases are finalized, Schwazze will operate 30 retail locations, 12 cultivation sites and four manufacturing facilities, according to a May 13, 2020 investor presentation.

The acquisitions include 13 retail operations located throughout the Colorado front-range with four dispensaries in Denver, two dispensaries in Aurora, one dispensary in each of Commerce City, Westminster, Louisville, Longmont, Niwot, Pueblo and Pueblo West, and one cultivation in Denver.

The acquisition of the 14 Star Buds locations is represented by 13 different ownership groups and agreements. Based on the consolidated, unaudited 2019 results the Company received from Star Buds, these acquisitions collectively earned approximately $50M in revenue with a strong EBITDA margin. The Company has submitted change of ownership applications with the Colorado Marijuana Enforcement Division for the 14 Star Buds locations and the transactions are expected to close in the third quarter of 2020.
