DENVER–()–Redwood Green Corp. (OTC:RDGC), announced today that it is proposing to sell up to $3,000,000 of common stock (with a right to increase to $5 million) in a private offering (the “Offering”) at $.25 per share that is exempt from the registration requirements of the Securities Act of 1933, as amended (the “Securities Act”).

The Company intends to use the net proceeds from the Offering for general corporate purposes and costs related to implementation of its recently announced business plan.

The common stock is being offered only to accredited investors with whom the Company or its management has had substantial prior relationships, as required by the Securities Act.
